OPPORTUNITY

The Commercial Real Estate Paralegal will work closely with the leadership team through various tasks to draft, negotiate, and finalize leases, property management agreements, and other relevant real estate documents. Other functional areas will include providing transactional legal assistance in collaboration with outside counsel, administer entity formations, and assist in legal related due diligence efforts. The position balances individual and team responsibilities and requires the ability to work independently while contributing to a team-oriented environment. The position requires prior real estate paralegal experience, initiative, negotiating skills, accuracy, attention to detail, relationship building skills, excellent verbal and superior written communication, judgment, and confidentiality.

 

KEY RESPONSIBILITIES/ DUTIES

This commercial real estate paralegal will be handling commercial real estate documentation and procedures related to various transactions from inception to closing.

 

JOB DESCRIPTION

  • Candidate must have extensive experience in complex real estate purchase, sale, and financing transactions, including title and survey review, commercial leasing, contract review/drafting, UCC filings, lien searches, critical date tracking, preparation/review of title objection letters, transaction closings, follow-through with post-closing matters.
  • Will be obtaining, preparing and/or filing various documents, certificates, statements, amendments, and forms; forming limited liability companies and other entities.
  • Work with outside securities counsel on entity documents, partnership documents, private placement memorandums.
  • Create Org chart for each new transaction and track and maintain necessary documents for distribution to lenders and investors.
  • Maintain accuracy in the presentation of documents utilized for investor presentations, investor memorandums, private placement memorandums, blue sky filings.
  • Preparing and tracking closing checklists and transactional documentation from letter of intent through completion of closing binders.
  • Participating in the closing process; obtaining Registry of Deeds documentation; assisting with various lease documents; reviewing due diligence materials.
  • Will assist with organizing checklists including arranging closing documentation and conducting due diligence.
  • Obtaining documents from various governmental agencies.
  • Conducts all business in a professional and ethical manner to serve customers and increase the goodwill and profit of the company
  • Maintain communication with all parties involved in transactions to obtain necessary information and documents.

 

REQUIREMENTS/QUALIFICATIONS

  • Seven (7+) years of prior law firm experience in commercial real estate.
  • A Bachelor’s degree and Paralegal certification are required.
  • Technology savvy with a strong knowledge working with Microsoft Office needed.
  • Strong leadership and interpersonal skills, including the ability to work with senior executives and in teams.
  • Must possess strong analytical skills and problem-solving abilities.
  • Strong attention to detail and organization; able to focus on multiple tasks simultaneously.
  • Strong time management and prioritizing skills with the ability to meet assigned project(s) deadlines
